Marubeni America Corporation POSITION SUMMARY: As an M&A Associate II, you will play a pivotal role in fostering strategic growth opportunities for Marubeni America Corporation (MAC) and Marubeni Corporation (MC) in the Investment Management team by helping the Business Units (BUs) propel their strategy and execute investment transactions.
This multifaceted position involves, but is not limited to, financial transaction tracking, extensive networking, comprehensive financial analysis, valuation, business unit support, deal document drafting and review, idea generation and strategic thinking, and collaboration with various teams and BUs.
ESSENTIAL JOB DUTIES: • Develop relationship with and support multiple BUs’ industry divisions and departments in their Mergers and Acquisitions (M&A) initiatives in all facets of the process.
• Cultivate and nurture relationships with investment banks and their M&A advisors to establish and maintain a robust network within the industry to stay informed of potential opportunities.
• Maintain and expand a comprehensive list of comparable M&A transactions and deals.
• Generate and enhance broad lists of potential target companies by reviewing company descriptions and websites, and transforming them into concise short lists for further evaluation.
• Create compelling presentation materials and conduct thorough financial analysis as required by using financial modeling techniques, including comparable public company analysis, to assess potential opportunities.
• Directly approach target companies through effective communication via email, phone calls and participation in any relevant industry conferences to actively engage with potential targets and stay updated on industry trends.
• Create and maintain a list and calendar of relevant industry conferences to establish and grow a list of inbound target opportunities provided by financial analysts covering relevant industries Financial Analysts.
• Implement improved tracking mechanisms for financial advisors.
• Provide dedicated support to BUs and divisions to include participating in meetings and collaborating with stakeholders to understand and address their unique needs.
• Review and follow up on Non-Disclosure Agreements (NDAs) to ensure compliance with legal and regulatory requirements in all dealings.
• Draft and review deal documents, including Indications of Interest (IOIs), Letters of Intent (LOIs) and purchase agreements.
• Appreciate and navigate the nuances of Marubeni’s unique corporate culture, which emphasizes executing a consensus-based decision-making process and developing strong cross-functional communication both domestically and globally, especially with the Tokyo headquarters office.
• Contribute to generating ideas on new business and white space.
MINIMUM EDUCATION REQUIREMENTS: • Bachelor’s degree in accounting, finance, business administration, or other area of study relevant to the function of Investment Management.
• MBA (in the same area of study as above) preferred but not required.
MINIMUM EXPERIENCE AND CAPABILITY REQUIREMENTS: • Three to five years of relevant accounting and tax experience in the areas of pre-acquisition preparation, M&A due diligence covering financial, accounting and tax, deal structuring and post-acquisition planning and follow-up.
• Excellent and effective communication (verbal and written) and listening skills.
• Ability to successfully prioritize simultaneous responsibilities.
• Excellent Microsoft Suite skills, specifically with Excel, Word, and PowerPoint.
• Strong financial modeling skills with working knowledge of advanced Excel functions.
• Strong PowerPoint-based presentation skills, project management and business development abilities • Robust writing, research, and analytical skills.
• Strong self-motivation with the ability to interact with people from varying and diverse backgrounds and to work in a dynamic, time-sensitive environment with varying deliverables and changing requirements.
• Must be able to work in a multi-cultural business environment, with strongly preferred experience or exposure to a Japanese corporate organization.
• Japanese language proficiency (writing, speaking, and reading) preferred.
OTHER: • Role may require overnight travel depending on BU activity of up to 10-20%.
